Quick summary
These Terms of Service govern your use of Invoice Inn. Installing or using the app means you agree to them. In short: Invoice Inn generates PDF invoices from your Shopify orders, you are responsible for making sure those invoices meet your local tax and legal requirements, we bill through Shopify, you can uninstall at any time, and our liability is capped at the fees you have paid us in the previous 12 months. A Free plan is available for low-volume merchants, and a 14-day free trial is offered on paid plans. If you don't agree with these Terms, please don't install the App.

1. Who we are
These Terms of Service (the "Terms") form a binding agreement between you ("you", "your", "Merchant") and MKIT Projektai, MB ("we", "us", "our"), registered in Lithuania at Vaižganto g. 11D-10, LT-44225 Kaunas, Lithuania. They govern your use of the Invoice Inn Shopify app and the marketing website at invoiceinn.com (together, the "Service"). For any questions about these Terms, contact us at support@invoiceinn.com.
2. The service
Invoice Inn (the "App") is a Shopify application that generates branded PDF invoices, credit notes, and debit notes from orders placed in your Shopify store, and provides related configuration, branding, automation, and delivery features. The exact set of features available to you depends on your subscription plan. We may add, change, or remove features over time; for material removals affecting paying customers we will provide reasonable advance notice.
3. Eligibility and account
- You must be at least 18 years old and have the legal capacity to enter into a contract.
- You must operate an active Shopify store and remain in good standing with Shopify.
- Authentication is handled through Shopify. You are responsible for keeping your Shopify credentials and staff access secure, and for all actions taken under your account.
- Each Shopify store requires its own installation and subscription. Sharing a single subscription across multiple stores is not permitted.
4. Subscriptions, fees, and billing
- Current pricing is shown inside the App and in the Shopify App Store listing, and is charged in the currency shown at checkout.
- Billing is processed through the Shopify Billing API and appears on your regular Shopify invoice.
- Paid subscriptions renew automatically each billing cycle until you uninstall the App, downgrade to the Free plan, or cancel. The Free plan does not auto-charge.
- Except where required by law, fees are non-refundable and we do not pro-rate charges for partial billing periods.
- We may change our pricing from time to time. Material price changes affecting your active plan will be announced at least 30 days in advance via email or in-app notice; continued use after the effective date constitutes acceptance of the new pricing.
- If a payment fails, we may restrict access to paid features and, after a reasonable cure period, suspend or terminate your subscription.
5. Free trial
We may offer a free trial period on paid plans. The length and any limitations of the trial will be shown at the point of install or upgrade. During the trial your Shopify account is not charged. If you do not uninstall the App or downgrade to the Free plan before the trial ends, billing for the paid plan you selected will begin and will appear on your regular Shopify invoice. You can cancel a paid subscription at any time by uninstalling the App or by switching to the Free plan from within the App.
6. Acceptable use
You agree not to:
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of the App, except to the extent applicable law expressly permits despite this limitation.
- Resell, rent, lease, sublicense, or otherwise commercially redistribute access to the App.
- Use the App to generate documents that are knowingly false, misleading, fraudulent, or designed to evade tax or other legal obligations.
- Circumvent or attempt to circumvent usage limits, rate limits, billing controls, or other technical restrictions.
- Probe, scan, load-test, or otherwise test the security of the App without our prior written permission.
- Use the App in any way that violates applicable law, infringes third-party rights, or interferes with other merchants' use of the Service.
7. Merchant responsibilities and tax / legal compliance
Invoice Inn is a software tool, not a tax, accounting, or legal advisor. You are solely responsible for ensuring that the documents generated by the App satisfy the legal, tax, and regulatory requirements applicable to your business and your customers.
This includes, without limitation:
- VAT, GST, sales tax, and other indirect-tax formatting, rates, exemptions, and disclosures.
- Mandatory invoice fields, headings, and statutory wording required by your jurisdiction.
- Sequential numbering, non-gap, and reset rules where required by your tax authority.
- Local invoice retention periods and archive formats.
- Language and translation requirements (including bilingual invoices where mandated).
- Any electronic-invoicing mandates, including but not limited to Italy (SDI), France (Factur-X / Chorus Pro), Spain (VeriFactu), Hungary (NAV), Poland (KSeF), and Germany (E-Invoice).
You are responsible for the accuracy of all data you configure or upload, including business name and address, tax identification numbers, bank details, prices, tax rates, branding, and template content. Invoice Inn renders the documents you configure; we do not validate that the resulting documents are legally compliant in any jurisdiction, and we do not certify any invoice for any tax authority.
You are responsible for honoring refunds, credits, returns, and corrections to your customers. The App's role is limited to generating the corresponding documents based on the data and instructions you provide. We strongly recommend you consult a qualified accountant or tax advisor for your jurisdiction before relying on Invoice Inn for compliance-critical workflows.
8. Intellectual property
- The App, including its source code, design, user interface, branding, documentation, and the Invoice Inn name and logo, is owned by MKIT Projektai, MB and protected by intellectual property laws.
- Your data — including order data, customer information, branding assets you upload, and configuration — remains yours.
- You grant us a limited, worldwide, royalty-free license to host, store, process, transmit, and display your data solely as needed to provide the Service to you.
- We grant you a non-exclusive, non-transferable, revocable license to access and use the App for your internal business purposes for as long as the App is installed on your Shopify store and you remain in compliance with these Terms.
9. Privacy and data protection
Our collection, use, and protection of personal data is described in our Privacy Policy, which is incorporated into these Terms by reference.
When the App processes personal data of your customers (for example, names and addresses on invoices), you act as the data controller and we act as a data processor on your behalf. A Data Processing Addendum (DPA) is available on request at support@invoiceinn.com.
10. Third-party services
The App depends on third-party services, including Shopify, our hosting provider, and email-delivery and customer-support providers. We are not responsible for outages, defects, changes, or discontinuation of those third-party services. Your use of Shopify is governed by your agreements with Shopify; nothing in these Terms modifies those agreements.
11. Service availability
- We aim to keep the App available and functioning, but we do not guarantee uninterrupted, error-free, or fully secure operation.
- Where reasonably possible, planned maintenance will be announced in advance via email or in-app notice.
- We may temporarily suspend all or part of the App for maintenance, security incidents, suspected abuse, or to comply with law.
- We are not liable for downtime, latency, or data loss caused by Shopify, your network, or other third-party infrastructure outside our reasonable control.
12. Suspension and termination
- You may terminate at any time by uninstalling the App from your Shopify admin. Subscription billing will stop at the end of the current billing cycle; no refunds are issued for the remainder of the cycle except where required by law.
- We may suspend or terminate your access, with or without notice, if you materially breach these Terms, fail to pay fees, use the App fraudulently or unlawfully, or if continued service would expose us to legal or regulatory risk. Where reasonable, we will notify you and give you an opportunity to cure the issue first.
- Following termination, your data is retained and then deleted in accordance with the retention periods described in our Privacy Policy. Generated documents remain accessible for download from the App while it is installed; we recommend downloading any documents you need to keep before uninstalling.
- Provisions that by their nature are intended to survive termination — including intellectual property, disclaimers, limitation of liability, indemnification, and governing law — will survive.
13. Disclaimer of warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE APP AND THE SERVICE ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.
We do not warrant that the App will be uninterrupted, error-free, free of harmful components, or that it will meet your specific business, tax, or legal requirements. Some jurisdictions do not allow exclusion of implied warranties; in those jurisdictions, our warranties are limited to the minimum extent permitted by law.
14. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL CUMULATIVE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE APP OR THESE TERMS IS LIMITED TO THE GREATER OF (A) THE FEES YOU PAID US FOR THE APP IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD 100.
WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, LOST BUSINESS OPPORTUNITY, OR ANY FINES, PENALTIES, OR INTEREST IMPOSED BY A TAX OR REGULATORY AUTHORITY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THESE LIMITS APPLY REGARDLESS OF THE LEGAL THEORY (CONTRACT, TORT, STATUTE, OR OTHERWISE).
Nothing in these Terms limits liability that cannot be limited under applicable law (such as liability for fraud, gross negligence, or death or personal injury caused by negligence). In jurisdictions that do not permit some of the above limitations, our liability is limited to the minimum extent permitted.
15. Indemnification
You agree to defend, indemnify, and hold harmless MKIT Projektai, MB and its officers, employees, contractors, and agents from and against any claims, losses, damages, fines, penalties, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:
- Your use or misuse of the App.
- Content, data, branding, or configuration you provide to the App.
- Your breach of these Terms, our Privacy Policy, or any applicable law.
- The tax, accounting, or regulatory non-compliance of any document generated using the App.
- Disputes between you and your customers or any third party.
This indemnification does not apply to claims caused by our gross negligence, wilful misconduct, or breach of these Terms.
16. Changes to these terms
We may update these Terms from time to time. For material changes, we will notify merchants via email or an in-app message at least 14 days before the changes take effect. The "Last updated" date at the top of this page reflects the most recent revision. Continued use of the App after the effective date constitutes acceptance of the revised Terms; if you do not agree, you must uninstall the App before the changes take effect.
17. Governing law and disputes
- These Terms and any dispute arising out of or related to them are governed by the laws of Lithuania, without regard to its conflict-of-laws rules.
- You and we agree to submit any dispute to the exclusive jurisdiction of the competent courts of Kaunas, Lithuania, except where applicable law grants you the right to bring proceedings in another jurisdiction.
- Nothing in this section limits the mandatory consumer-protection rights you may have under the laws of your country of residence.
18. Miscellaneous
- Force majeure: we are not liable for delays or failures caused by events beyond our reasonable control, including acts of God, war, terrorism, civil unrest, government action, labor disputes, internet or telecommunications failures, and outages of third-party services.
- Entire agreement: these Terms, together with the Privacy Policy and any DPA we have executed with you, constitute the entire agreement between you and us regarding the App and supersede any prior agreements or understandings.
- Severability: if any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect.
- No waiver: our failure to enforce any provision is not a waiver of our right to enforce it later.
- Assignment: you may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of substantially all our assets.
- Notices: we will send notices to the email address associated with your Shopify account; you may send notices to us at support@invoiceinn.com. Notices are deemed given when sent to the email address on file, provided the sender does not receive a delivery failure.
- Relationship: these Terms do not create any partnership, joint venture, employment, or agency relationship between you and us.
